PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM. BY CREATING AN ACCOUNT, CLICKING “I AGREE”, OR ACCESSING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY AND ACCEPTABLE USE POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS THE PLATFORM.
1. About these terms
These Terms of Service (“Terms”) govern your access to and use of the HoneOS.ai Vision software-as-a-service platform, website, APIs, and related services (collectively, the “Platform”) provided by HoneOS.ai Inc. (“HoneOS.ai”, “we”, “us”). These Terms apply to all self-serve subscribers and lower-touch customers who access the Platform without a separately negotiated Master Services Agreement. If you have a signed MSA with HoneOS.ai, that MSA governs your use of the Platform and takes precedence over these Terms.
These Terms incorporate by reference our Privacy Policy and Acceptable Use Policy (honeoss.com/aup), both of which form part of your agreement with us.
2. Eligibility & accounts
2.1 Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the organization you represent. By accepting these Terms, you represent that you meet these requirements.
2.2 Account registration
To access the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.
2.3 Organizations
If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and all references to “you” include both you individually and the organization.
3. Subscriptions & access
3.1 Subscription tiers
The Platform is available on three subscription tiers — Starter, Pro, and Enterprise — each with different entitlements regarding the number of Authorized Users and Enriched Leads/Accounts per month. The details of each tier, including current pricing, are set out on our pricing page at honeoss.com/pricing.
3.2 License
Subject to these Terms and timely payment of all fees, HoneOS.ai grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during your Subscription Term solely for your internal business purposes. You must not exceed your subscription entitlements.
3.3 Free trials
HoneOS.ai may offer a free trial period at its discretion. At the end of the trial period, you will be required to subscribe or your access will be terminated. HoneOS.ai reserves the right to modify or discontinue free trials at any time.
4. Fees & payment
4.1 Subscription fees
Subscription fees are charged in advance at the start of each billing cycle (monthly, 3-month, 6-month, or annual) at the rates displayed at checkout or on your Order Form. All fees are in Canadian dollars (CAD) unless otherwise stated and are exclusive of applicable taxes.
4.2 Billing cycles & premiums
Monthly subscriptions are billed at the standard monthly rate. 3-month terms are billed at a 15% premium above the standard monthly rate. 6-month terms are billed at an 8% premium above the standard monthly rate. Annual subscriptions are billed at a discounted annual rate as displayed at checkout.
4.3 Payment terms & late payment
All invoices are due within fifteen (15) days of the invoice date. Late payments accrue interest at 1.5% per month. We reserve the right to suspend your access if any invoice is more than thirty (30) days overdue.
4.4 Usage overages
If your usage exceeds your subscription tier entitlements, overage charges apply at the rates displayed on your account dashboard. Overages are invoiced in arrears at the end of each billing cycle.
4.5 No refunds
Except as required by applicable consumer protection law, all subscription fees are non-refundable. If you cancel mid-term, your access continues until the end of the current billing period.
4.6 Fee changes
We may change our fees at any renewal date with at least sixty (60) days’ advance notice. Your continued use of the Platform after the fee change takes effect constitutes acceptance of the new fees.
5. Auto-renewal & cancellation
Your subscription automatically renews at the end of each Subscription Term for a successive period of the same length (or one month for monthly plans) at the then-current rate, unless you cancel at least thirty (30) days before the renewal date. You can cancel at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current term.
6. Acceptable use
Your use of the Platform is subject to our Acceptable Use Policy available at honeoss.com/aup. Key restrictions include prohibitions on: illegal activity, data misuse, competitive benchmarking, exceeding entitlements, introducing malicious code, and sharing credentials with unauthorized users. Violations may result in immediate suspension or termination of your account.
7. Your data
You retain ownership of all data you submit to the Platform (“Your Data”). You grant HoneOS.ai a limited licence to process Your Data solely to provide the Platform and related services. You are responsible for ensuring Your Data is lawfully obtained and that your use of the Platform complies with all applicable privacy laws. HoneOS.ai’s handling of Your Data is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement.
8. Intellectual property
HoneOS.ai retains all right, title, and interest in the Platform, including all software, content, designs, trademarks, and intellectual property. Nothing in these Terms transfers any ownership rights to you. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Platform.
9. Confidentiality
You agree to keep confidential any non-public information about the Platform, including pricing, features, and technical details, that you learn through your use of the Platform or your relationship with HoneOS.ai. This obligation does not apply to information that is publicly available or independently known to you.
10. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEOSS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HONEOSS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ENRICHED DATA WILL BE ACCURATE OR COMPLETE. YOU USE THE PLATFORM AT YOUR OWN RISK.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) HONEOSS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND (B) HONEOSS’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.
12. Term & termination
These Terms remain in effect for as long as you maintain an active subscription or account. HoneOS.ai may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your licence ends immediately. You may export Your Data within thirty (30) days of termination, after which HoneOS.ai may delete it. Sections 7 through 15 survive termination.
13. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or in-platform notice at least thirty (30) days before the change takes effect. Your continued use of the Platform after that date constitutes acceptance of the updated Terms. The current version is always available at www.honeoss.com/tos.html.
14. Governing law & disputes
These Terms are governed by the laws of British Columbia, Canada. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia. If you are a consumer, you may also have rights under the consumer protection laws of your province or country of residence.
15. General
- Entire agreement. These Terms, together with the Privacy Policy and AUP, constitute the entire agreement between you and HoneOS.ai regarding the Platform for self-serve customers.
- Severability. If any provision is unenforceable, the remainder continues in effect.
- No waiver. Failure to enforce any provision is not a waiver.
- Assignment. You may not assign your rights under these Terms. HoneOS.ai may assign its rights in connection with a merger or acquisition.
